Please read these Terms and Conditions carefully before using e-HOAPrime. They apply to HOA administrators, staff, board members, and homeowners who access the platform.
1. Acceptance of terms
These Terms and Conditions ("Terms") govern access to and use of the e-HOAPrime platform ("Service"), operated for homeowner associations ("HOA") and their authorized users in the Philippines.
By creating an account, signing in, or using the Service on behalf of an HOA, you agree to these Terms. If you do not agree, do not use the Service.
HOA administrators are responsible for ensuring that staff, board members, and homeowners who receive portal access understand and comply with these Terms.
2. Description of the service
e-HOAPrime is a cloud-based software platform for HOA operations, including but not limited to billing and collections, homeowner records, visitor management, facility bookings, communications, document requests, complaints, elections, expenses, and reporting.
Features available to your community depend on your HOA's subscription, configuration, and user role. We may add, modify, or discontinue features with reasonable notice where practicable.
3. Accounts and user roles
Access is provided through role-based accounts (e.g., HOA admin, staff, board, homeowner). You must provide accurate registration information and keep login credentials confidential.
You are responsible for all activity under your account. Notify your HOA administrator and our support team immediately if you suspect unauthorized access.
- Do not share passwords or allow others to use your personal login.
- HOA administrators control which users are invited, suspended, or removed.
- Homeowner portal access is limited to the unit(s) and permissions assigned by the HOA.
4. Acceptable use
You agree to use the Service only for lawful HOA-related purposes and in accordance with your community's bylaws, house rules, and applicable Philippine law.
- No uploading of malware, unlawful content, or material that infringes others' rights.
- No attempting to probe, scan, or compromise the security or integrity of the Service.
- No scraping, reverse engineering, or reselling access without written permission.
- No harassment, impersonation, or misuse of SMS, email, or announcement tools.
- No posting of false payment records, fraudulent visitor passes, or misleading community information.
5. HOA data and content
The HOA retains ownership of data entered into the Service (member records, financial entries, documents, messages, etc.). You grant us a limited license to host, process, back up, and display that data solely to provide and improve the Service.
HOA administrators are responsible for the accuracy of billing amounts, assessments, announcements, and official communications sent through the platform.
e-HOAPrime is a tool for community management; we do not act as your HOA's treasurer, legal counsel, or property manager unless separately agreed in writing.
6. Billing, payments, and fees
Subscription fees for the Service, if any, are billed according to the agreement between the HOA and the provider. Features for recording homeowner dues, posting payments, and generating collection reports are provided for the HOA's operational use.
Unless explicitly integrated with a third-party payment gateway approved by your HOA, online payment features may be informational or record-keeping only. The HOA remains responsible for actual collection of dues, official receipts, and compliance with tax and accounting requirements.
7. Privacy
Our collection and use of personal information are described in our Privacy Policy. By using the Service, you also agree to that policy.
HOAs must use member contact details (phone numbers, email addresses) only for legitimate community purposes and in line with the Data Privacy Act of 2012 (Republic Act No. 10173), where applicable.
8. Availability and support
We strive to keep the Service available and secure but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, or events beyond our reasonable control may cause temporary downtime.

9. Intellectual property
The e-HOAPrime name, logo, software, and documentation are owned by the provider or its licensors. These Terms do not grant you any right to use our trademarks except as needed to identify the Service.
You may not copy, modify, or create derivative works of the Service except as permitted by law or with our prior written consent.
10. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that reports, balances, or outputs are error-free. HOAs should verify critical financial and legal information before relying on them for board decisions or regulatory filings.
11. Limitation of liability
To the fullest extent permitted by Philippine law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill arising from use of the Service.
Our total liability for any claim relating to the Service in any twelve (12) month period shall not exceed the fees paid by the HOA for the Service during that period, or PHP 10,000 if no fees were paid, whichever is greater.
12. Indemnification
The HOA agrees to indemnify and hold harmless the provider from claims arising from the HOA's misuse of the Service, violation of these Terms, inaccurate data supplied by the HOA, or disputes between the HOA and its members—except to the extent caused by our gross negligence or willful misconduct.
13. Suspension and termination
We may suspend or terminate access for violation of these Terms, non-payment of subscription fees, or to protect the security of the Service. HOAs may request account closure according to their agreement; export of data should be arranged before termination where possible.
Upon termination, rights to use the Service end immediately. Provisions that by nature should survive (e.g., liability limits, indemnity, governing law) will remain in effect.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules.
Parties agree to attempt good-faith resolution before litigation. Courts in the Philippines shall have exclusive jurisdiction, subject to mandatory consumer or HOA regulations that cannot be waived.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance of the revised Terms.
